Terms of Service

1. Agreement to Terms

By accessing and using the ShowingPartner platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Hold a valid real estate license in your jurisdiction
• Have the legal authority to enter into binding contracts
• Comply with all applicable laws and regulations

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to:

• Provide false or misleading information
• Harass, threaten, or abuse other users
• Engage in discriminatory conduct
• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to the platform
• Post spam, malware, or inappropriate content
• Interfere with the proper functioning of the Service

5. License Verification and Professional Requirements

ShowingPartner verifies real estate licenses through third-party verification services to maintain platform integrity. By using the Service, you authorize us to verify your license information with appropriate state licensing authorities. Providing false, inaccurate, or misleading license information will result in immediate account termination and may subject you to legal action.

We do not assume responsibility for the accuracy or reliability of these verification processes. You represent and warrant that:

• You are a valid, active real estate licensee in good standing
• You maintain all necessary professional credentials and insurance
• You are permitted by your broker and applicable law to use this platform
• You comply with the National Association of Realtors (NAR) Code of Ethics if applicable

6. Job Posting, Showing Assistance, and Application

For Agents (Job Posters/Initiating Agents):

• You are responsible for the accuracy and legality of job postings
• You agree to pay the agreed-upon rate upon job completion
• You may cancel jobs according to the cancellation policy
• You maintain responsibility for all tasks, including those performed by assistants on your behalf
• You are responsible for obtaining any necessary written agreements (per NAR Settlement Agreement requirements) with your clients
• You understand that helpers are not your agents, employees, or sub-agents and represent no authority from you
• You agree not to solicit helpers who have worked on your behalf for a minimum of three years after job completion

For Helpers (Service Providers/Showing Assistants):

• You agree to perform assigned services professionally, promptly, and in compliance with all applicable laws
• You assume full responsibility for your own safety, liability insurance, and professional conduct
• You agree to comply with the specific instructions provided by the requesting agent
• You will not provide opinions or engage in substantive discussions about property price, market conditions, neighborhoods, or property condition unless explicitly requested by the agent
• You will not solicit, contact, or attempt to form business relationships with clients or agents for a minimum of three years after providing services
• You waive any claims of being the procuring cause of any real estate transaction resulting from services provided
• You understand that you are not an agent, employee, or sub-agent of the requesting agent or their client
• You will execute non-representation or non-agency forms when requested
• You will receive payment according to the platform terms upon job completion

7. Payment Terms

• All payments are processed through Stripe and subject to Stripe's Connected Account Agreement and Terms of Service
• ShowingPartner charges a platform fee on each completed transaction
• Payments are held until job completion is confirmed by both parties
• We will attempt to process payments within 24 hours of job completion, though settlement may take additional business days
• All payments are non-refundable except as required by law or Stripe's policies
• Disputed transactions must be reported within 14 days of the transaction date
• You agree to accept the Stripe Services Agreement for all payment processing
• Repeated chargebacks, payment disputes, or unauthorized transaction claims may result in account suspension or termination
• ShowingPartner bears no liability for payment processing delays or errors beyond our control

8. Ratings and Reviews

Users may rate and review each other's performance. You agree that reviews are honest and based on actual experience. False, defamatory, or malicious reviews may result in account suspension or legal action.

9. Liability and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWINGPARTNER DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE INTENDED RESULTS, BE COMPATIBLE WITH OTHER SYSTEMS, OPERATE WITHOUT INTERRUPTION, MEET PERFORMANCE STANDARDS, OR BE ERROR-FREE.

ShowingPartner does not supervise, direct, control, or monitor the performance of any services provided through the platform. Accordingly, we expressly disclaim any responsibility or liability for:

• The quality, safety, professionalism, or legality of any job completed
• The conduct or behavior of any user on the platform
• Contractual performance or disputes between users
• Property damage, personal injury, or other harm arising from use of the Service
• Failure to provide services, missed appointments, or incomplete work
• Violations of professional standards or NAR Code of Ethics

Users are responsible for their own conduct and assume all risks associated with using the Service. You acknowledge that ShowingPartner cannot verify the identity, credentials, or professionalism of any user.

10. Limitation of Liability

IN NO EVENT SHALL SHOWINGPARTNER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShowingPartner, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service
• Your violation of these Terms of Service
• Your violation of any applicable law or regulation
• Your breach of professional duties or fiduciary responsibilities
• Any job you post, any service you provide, or your breach of any agreement with another user
• Content you submit or upload to the platform
• Claims by third parties relating to your conduct or services

12. Termination

We may terminate or suspend your account at any time, with or without cause, and without liability. You may terminate your account at any time by contacting support.

13. Dispute Resolution and Claims Limitation

Any cause of action or claim relating to this agreement or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, the claim is permanently barred.

Any disputes arising from this agreement or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that ShowingPartner may seek injunctive relief for intellectual property violations or account access breaches without arbitration.

14. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action or proceeding arising from this agreement shall be instituted exclusively in the federal or state courts located in Indiana, and you waive any objection to jurisdiction or venue in such courts.

15. Geographic Restrictions

ShowingPartner is based in and provides services to licensed real estate professionals located in the United States. You may not access or use the Service from outside the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws.

16. Intellectual Property and User Content

ShowingPartner retains all right, title, and interest in the Service, including all intellectual property rights. You retain ownership of any content you submit, but grant ShowingPartner a worldwide, royalty-free license to use it for platform operations. You represent that you own or have the right to grant this license.

Copyright Infringement: If you believe user content infringes your copyright, contact us with the information required by the Digital Millennium Copyright Act (17 USC § 512), including your name, the work allegedly infringed, the infringing material, and your statement under penalty of perjury that you have a good faith belief the use is unauthorized.

17. License Grant and Limitations

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or professional use in accordance with these terms. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, disassemble, or decompile the Service
• Remove or alter any intellectual property notices
• Rent, lease, or sublicense the Service to others
• Use the Service to violate any law or infringe intellectual property rights
• Circumvent security features or protections

18. Changes to Terms

We reserve the right to modify these terms at any time. Changes are effective immediately when posted to the Service. Your continued use of the Service after changes constitutes acceptance of the updated terms. If you do not agree to changes, you must discontinue use of the Service.

19. Entire Agreement and Severability

These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and ShowingPartner regarding the Service. If any provision is found illegal or unenforceable, the remaining provisions continue in full effect, and the provision is amended to the minimum extent necessary to make it enforceable.
